General Terms and Conditions
JO-IN TRADING CO., LTD · Effective from 9 July 2026
1. Scope
These General Terms and Conditions ("Terms") apply to all quotations issued and all orders accepted by JO-IN TRADING CO., LTD ("Seller") through this online shop (shop.jointrading.biz) or by direct correspondence. This shop serves business customers (B2B) only. By placing an order, the customer ("Buyer") accepts these Terms. Deviating terms of the Buyer apply only if confirmed by the Seller in writing.
2. Quotations and Prices
- Quotations are valid until the date stated on the quotation ("Valid Through"). After this date, prices and availability are subject to reconfirmation.
- Prices are quoted in the currency stated and, unless expressly agreed otherwise, exclude freight, insurance, customs duties, taxes, and banking charges.
- Stock levels and prices shown in the shop are indicative and subject to prior sale.
3. Orders and Order Confirmation
- An order placed through the shop constitutes an offer by the Buyer. A contract is concluded only when the Seller issues its Order Confirmation.
- Quantities are confirmed subject to stock availability. Items or quantities that cannot be supplied will be marked as not available in the Order Confirmation; only confirmed quantities form part of the contract.
4. Payment
- Unless otherwise agreed in writing, payment is by telegraphic transfer (T/T) in advance to the bank account stated on the Seller's invoice.
- All bank charges outside Korea are for the Buyer's account.
- The Seller may withhold shipment until full payment has been received.
5. Delivery and Shipping
- Delivery terms follow the Incoterms® rule agreed for each shipment; if none is agreed, FOB Busan, Korea (Incoterms® 2020) applies. For courier shipments, the applicable rule (CPT, FCA Busan, or EXW Busan) is stated on the proforma invoice.
- Lead times stated in quotations or order confirmations are best estimates and not guaranteed delivery dates.
- Partial shipments are permitted and may be invoiced separately.
6. Title and Risk
Risk passes to the Buyer in accordance with the agreed Incoterms® rule. Title to the goods remains with the Seller until the purchase price has been paid in full.
7. Inspection and Warranty
- All products supplied are genuine products of the stated manufacturers and carry the respective manufacturer's warranty.
- The Buyer shall inspect the goods promptly upon arrival and notify the Seller of any shortage, mis-shipment, or visible defect in writing within 14 days of receipt.
- The Seller's liability is limited to replacement of the defective goods or refund of the price paid for them. The Seller is not liable for indirect or consequential damages, including loss of production or profit, to the extent permitted by law.
8. Returns
Goods may be returned only with the Seller's prior written consent. Goods ordered specifically for the Buyer (indent orders) are not returnable.
9. Export Control and Sanctions
- Applicable regimes. The goods supplied are or may be subject to export control and sanctions laws and regulations, including without limitation: (a) those of the Republic of Korea — the Foreign Trade Act, the Public Notice on Trade of Strategic Items, and related regulations; (b) resolutions of the United Nations Security Council; (c) those of the United States — the Export Administration Regulations (EAR) administered by the U.S. Department of Commerce (BIS) and the sanctions programs administered by the U.S. Department of the Treasury (OFAC), including the Specially Designated Nationals (SDN) and Entity Lists; and (d) those of the European Union — Regulation (EU) 2021/821 on dual-use items and the EU restrictive measures (sanctions) in force, including Council Regulation (EU) No 833/2014.
- Buyer status. The Buyer warrants that neither it nor any of its owners, directors, or end customers is designated on, or owned or controlled by a person designated on, any applicable sanctions list of Korea, the UN, the US, the EU, or the United Kingdom.
- No re-export to embargoed destinations. The goods shall not be sold, exported, re-exported, transhipped, or otherwise made available, directly or indirectly, to or for use in any country or territory subject to comprehensive embargo or relevant trade restrictions — including, as of the effective date, Russia, Belarus, North Korea, Iran, Syria, Cuba, and the Crimea, Donetsk, and Luhansk regions of Ukraine — or to any sanctioned party. The Buyer acknowledges that bearings (HS 8482) are classified as Common High Priority Items under US and EU anti-circumvention controls relating to Russia, and undertakes in particular not to sell or transfer the goods, directly or indirectly, to Russia or for use in Russia.
- End-use. The goods shall not be used, and shall not be supplied for use, in military, nuclear, chemical or biological weapons, or missile-related applications, unless duly authorized by the competent authorities.
- Buyer's obligations. The Buyer shall obtain at its own cost any licence or authorization required for the import, use, or onward transfer of the goods, shall provide end-user or end-use certificates upon the Seller's request, and shall impose obligations equivalent to this Section on its own customers in case of resale.
- Seller's remedies. The Seller may, without liability, refuse, suspend, or cancel any order or shipment if the Seller reasonably believes that the transaction may violate any applicable export control or sanctions regulation, if a required licence is not granted, or if requested end-use information is not provided. The Buyer shall indemnify and hold the Seller harmless against all losses, penalties, and costs arising from the Buyer's breach of this Section.
10. Force Majeure
The Seller is not liable for delay or failure to perform caused by events beyond its reasonable control, including manufacturer supply shortages, transport disruptions, acts of government, natural disasters, or similar events. Agreed dates are extended by the duration of such events.
11. Governing Law and Jurisdiction
These Terms and all contracts under them are governed by the laws of the Republic of Korea. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded. Any dispute shall be submitted to the exclusive jurisdiction of the courts of Busan, Republic of Korea.
